1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Kyme procurement platform at kyme.ai and app.kyme.ai (the "Platform"), operated by Kyme ("we", "us", or "our"). By creating an account, signing a Kyme order form, or otherwise using the Platform, you agree to be bound by these Terms on behalf of yourself and, if applicable, your organisation.

If you do not agree to these Terms, do not use the Platform. See our Privacy Policy for how we handle your data.


2. Who Can Use Kyme

Kyme is a business-to-business platform. You must be at least 18 years old and authorised by your organisation to use the Platform on its behalf. You are responsible for ensuring that anyone you invite to your organisation's Kyme account (admins, approvers, requesters, and connected suppliers) also agrees to these Terms.


3. Accounts and Security

  • You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
  • Notify us immediately at contact@kyme.ai if you suspect unauthorised access to your account.
  • Role-based permissions (admin, approver, requester, supplier) determine what a given user can see and do. You are responsible for assigning roles correctly within your organisation.

4. Your Procurement Data

  • Your organisation retains ownership of the data it submits to the Platform, including supplier records, RFQs, quotes, purchase orders, invoices, and signatures ("Customer Data").
  • You grant Kyme a limited licence to host, process, and display Customer Data solely to provide and improve the Platform, as described in our Privacy Policy.
  • You are responsible for the accuracy of Customer Data you or your organisation upload, and for having the right to share any supplier or third-party information you submit.

5. AI Features

The Platform includes AI-assisted features, including automatic quote extraction from uploaded documents and a chat assistant ("Ask Kyme" / "Agent Kyme"), both powered by Anthropic's Claude API.

  • AI output may be inaccurate or incomplete. Extracted totals, line items, or supplier names, and any answers generated by the chat assistant, are provided as a convenience and starting point only.
  • Human review is required. You and your organisation are responsible for reviewing and verifying any AI-generated data before relying on it for procurement decisions such as approvals, purchase orders, or payments.
  • No fully automated decisions. Kyme does not use AI output to autonomously approve, reject, or execute procurement actions. All approvals require a human decision-maker within your organisation.

6. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable regulation
  • Upload malicious files, attempt to bypass file validation or security controls, or interfere with the Platform's operation
  • Attempt to access another organisation's data, or data outside your assigned role's permissions
  • Reverse engineer, scrape, or resell access to the Platform without our written consent
  • Use the AI features to process data you do not have the right to share with a third-party AI provider

We may suspend or terminate access for accounts that violate this section.


7. Suppliers and Third Parties

If your organisation invites a supplier to respond to an RFQ or sign a document through Kyme, that supplier is bound by these Terms with respect to their use of the Platform (for example, viewing and responding to RFQs or signing purchase orders). Suppliers should not upload personal or sensitive data beyond what is necessary to respond to the request.


8. Subscriptions, Pilots, and Fees

  • Access to the Platform is provided under a separate order form or pilot agreement between Kyme and your organisation, which governs pricing, term, and payment.
  • Booking a pilot through the "Book a Demo" form on our marketing site does not itself create a binding subscription; it is a request for our team to follow up with you.
  • We may change pricing for future subscription terms with reasonable advance notice.

9. Availability and Support

We aim to keep the Platform available and performant but do not guarantee uninterrupted access. We may perform maintenance, and features may change as the Platform evolves. Contact contact@kyme.ai for support.


10. Intellectual Property

Kyme and its licensors own all right, title, and interest in the Platform itself, including its software, design, and branding, excluding your Customer Data. Nothing in these Terms transfers any Kyme intellectual property to you except the limited right to use the Platform as intended.


11. Confidentiality

Each party will protect the other's confidential information disclosed through the Platform with the same degree of care it uses for its own confidential information, and will not disclose it except as needed to provide or use the Platform, or as required by law.


12. Disclaimers

The Platform, including AI-generated output, is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that AI extraction or chat responses will be accurate, complete, or error-free.


13. Limitation of Liability

To the fullest extent permitted by law, Kyme will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising from your use of the Platform, including reliance on AI-generated output. Our aggregate liability for any claim arising from these Terms will not exceed the fees paid by your organisation to Kyme in the 12 months preceding the claim.


14. Termination

  • Either party may terminate access to the Platform as set out in the applicable order form or pilot agreement.
  • We may suspend or terminate an account immediately if we reasonably believe it poses a security risk or violates Section 6 (Acceptable Use).
  • Upon termination, we will handle your data as described in the "Data Retention" section of our Privacy Policy, including a 30-day window to export or request deletion of your data, subject to legal retention requirements.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by displaying a notice within the Platform before the changes take effect. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.


16. Governing Law

These Terms are governed by the laws applicable at Kyme's place of incorporation, without regard to conflict-of-laws principles, unless a separate signed order form or agreement between you and Kyme specifies otherwise.
